Notice of Motion AGM 23 April 2018

The following motions will be proposed as SPECIAL RESOLUTIONS.

The Government of Western Australia, Department of Commerce, (Consumer Protection), have previously advised that ALL incorporated associations in WA must review and update their rules (or constitution) to ensure their document complies with the Associations Incorporations Act 2015.

At our 2017 AGM, held on 24th April 2017, after what we believed to be a thorough review of the Club’s constitution, the Committee submitted several changes to the rules so as to comply with the Act. These changes were subsequently passed at that meeting. And submitted to the Department.

However, the Department have since advised us, in January this year, that further amendments would be necessary to ensure compliance.

Management Committee have therefore since considered and reviewed the recommendations of the Department and made several new changes which we trust, will ensure that this Club’s Constitution is fully compliant into the future. These changes now need to be ratified by Members and so, are now submitted for Member’s approval at the coming AGM.

A list of these alterations to the rules (constitution), to be proposed as special resolutions, is posted on notice board in club house.

Also on the notice board, (to better explain the reason for the proposed amendments,) you will find a copy of the letter received from the Department of Commerce (Consumer Affairs)

Hopefully, this will give all Members a proper picture of what these changes are for.

We ask Members to read and make themselves familiar with these changes, as eligible Members will be asked to vote on them at the coming AGM.

We have numbered the 10 points that the Department have raised, indicating where our constitution does not comply with the act in their letter. We have also numbered the motions (or special resolutions) so that Members can compare the Departments requests and the corresponding amendments to be made.

All special resolutions show the current rules, and then the proposed amendment. Also, we have highlighted the changed wording in BLUE PRINT.

Special General Meeting Friday 24th November 2017 at 6pm

The Club’s Management Committee have called a SPECIAL GENERAL MEETING of Club Members to discuss and vote on the following matters:

  1. To ratify constitution changes required by the Department of Racing, Gaming and Liquor.

i.e. Amendments to Clauses 6 (f), 6 (g), & 6 (i)

plus; Correcting reference to Liquor Licensing Act.

plus; Change of Club licensee name

(These changes are explained further in advice posted on Clubhouse Notice Board and also outlined in the letter from RGL, and the Club’s reply. Also posted on Notice Board.)

These amendments are compulsory if we wish to retain the Club’s liquor licence. And must be ratified by Club Members.

  1. To Re-approve constitution amendments which were originally approved at AGM on 24th April 2017.

Please refer to copies of 2 Notices of Motion (or “Special Resolutions”) (posted on noticeboard) which were presented and passed at the AGM.

These Special Resolutions are required by the Department of Commerce (Consumer Protection) who have insisted that ALL Clubs in WA update their Constitutions to comply with the; Associations Incorporation Act 2015.

However, they also insist that these amendments must be submitted to the Department of Commerce within 30 days of Club Members approving them.

Submission to them was delayed as the Club forwarded them firstly to Dept of Racing Gaming & Liquor.

Consequently, we now need Members to “Re-Approve” these changes so they can be submitted to Dept of Commerce.
